Terms of Service
1. Who we are and what these Terms cover
These Terms of Service ("Terms") govern your access to and use of the Ritmo Planner mobile application and related services (together, the "Service").
The Service is operated by Vytautas Urbelis, a sole proprietor doing business as Ritmo Planner, Basel, Switzerland ("we", "us", "Ritmo"). Contact: developer@ritmoplanner.com.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What Ritmo is (and is not)
Ritmo is a client and session management tool for independent fitness and dance instructors, coaches, and similar professionals. It lets you track clients, sessions, check-ins, subscriptions, payments, expenses, and notes, and send reminders to your clients.
Ritmo is a record-keeping tool only.
- Ritmo does not process payments. All payments between you and your clients happen outside the Service (cash, bank transfer, TWINT, or otherwise). Ritmo only records the information you enter. We are not a payment service provider, money transmitter, or financial institution.
- Ritmo does not provide accounting, tax, or legal advice. Records and statistics in Ritmo are your own business records. You remain solely responsible for your bookkeeping, tax filings, and legal compliance.
- Reminders are sent from your own accounts. WhatsApp reminders open a pre-filled message in your own WhatsApp application; you send it, from your account, at your discretion. Ritmo is not affiliated with, endorsed by, or connected to WhatsApp, Meta Platforms, Apple, or Google. Your use of WhatsApp is governed by WhatsApp's own terms.
3. Eligibility and accounts
You must be at least 18 years old and use the Service for your professional or business activity. The Service is not intended for consumers, including the clients of instructors.
You must provide accurate account information and keep your login credentials confidential. You are responsible for all activity under your account. Notify us promptly at developer@ritmoplanner.com if you suspect unauthorized access.
One account is intended for one instructor. You may not share an account or resell access to the Service.
Availability. The Service is offered only in the countries where we make it available in the app stores. You may not use the Service where its use is prohibited by law or by applicable sanctions. You are responsible for complying with the local laws that apply to your business.
4. Your clients' data - your responsibilities
Ritmo lets you enter, import (including from your device's contacts), and store personal data about your clients, such as names, phone numbers, attendance, subscription status, and payment records ("Client Data").
You are the controller of Client Data; we process it on your behalf as described in our Privacy Policy.
You confirm that:
- you have a lawful basis, and where required your clients' consent, to enter and store Client Data in the Service, including data imported from your phone contacts;
- you will inform your clients about your use of Ritmo where the law requires it;
- you will only send reminders and messages to clients who have agreed to be contacted, and will comply with applicable messaging and anti-spam laws and WhatsApp's rules;
- where you record data about minors, you have the consent of a parent or legal guardian where the law requires it;
- you will record health or other sensitive information, including in notes about clients or events, only where the law allows it, in particular with your client's consent where required;
- Client Data you enter is accurate to the best of your knowledge.
You are solely responsible for your relationship with your clients. Ritmo is not a party to any agreement between you and your clients.
5. Plans, subscriptions, and billing
Plans. Ritmo offers a free plan and one or more paid plans. The limits, features, and prices of each plan are shown in the app before you purchase.
Billing through app stores. Paid plans are purchased through Apple's App Store or Google Play. Billing, renewal, cancellation, and refunds are handled by the respective store under its terms:
- Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before renewal in your App Store or Google Play subscription settings.
- Deleting the app or your account does not cancel a subscription; you must cancel it in your store settings.
- Refunds are governed by Apple's and Google's refund policies. To the extent permitted by law, we do not offer refunds beyond those.
Referral codes and promotions. We may offer referral codes, discounts, or other promotions under the conditions shown in the app. Promotions have no cash value, cannot be combined unless stated, and may be changed or ended at any time for future use. We may withdraw a promotional benefit obtained through abuse (for example, self-referrals or fake accounts).
Changes to plans and prices. We may change prices, limits, or the features included in any plan. Price changes take effect at your next renewal, with advance notice as required by the app stores. If a subscription ends or a plan limit is reduced, data you already entered is not deleted and stays visible, but you may need a paid plan to add more clients or use paid features.
6. Your content and how we use it
You retain all rights to the data and content you enter into the Service, including Client Data ("Your Content"). You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display Your Content only as necessary to provide, maintain, secure, and support the Service and to comply with law.
We may access Your Content only to provide support you request, to investigate and fix technical problems, to protect the security of the Service, or where required by law. To improve the Service, we use usage data and statistics that are aggregated or do not identify your clients, as described in our Privacy Policy.
This license ends when Your Content is deleted from the Service, subject to routine backup retention described in our Privacy Policy.
7. Our intellectual property
The Service, including its software, design, logos, and content we provide, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app on devices you control, for your own business purposes, in accordance with these Terms. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works of the Service, except where such a restriction is prohibited by law.
8. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of applicable law;
- send unsolicited, harassing, or deceptive messages to any person through features of the Service;
- upload malicious code, or attempt to probe, disrupt, or gain unauthorized access to the Service or its infrastructure;
- scrape, harvest, or bulk-extract data from the Service other than through features we provide;
- impersonate any person or misrepresent your affiliation;
- store data in the Service that you are not entitled to hold.
We may suspend or terminate accounts that violate this section.
9. Availability, changes, and beta features
We aim to keep the Service available and reliable, but we do not guarantee any uptime or availability. We may modify, add, or remove features at any time, and may suspend the Service for maintenance, security, or legal reasons.
Some features may be labelled beta, early access, or experimental. These are provided as-is, may change or be withdrawn without notice, and may be less reliable than the rest of the Service.
The Service is not intended to be your only copy of business-critical records. We recommend you keep your own copies of important records, using the export features we provide where available.
10. Third-party services
The Service relies on third-party services, including cloud infrastructure (Google Firebase), app store distribution (Apple, Google), and messaging integrations (WhatsApp links). We are not responsible for the availability, performance, or terms of third-party services. Your use of them is governed by their own terms and privacy policies.
11. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that data will never be lost.
Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.
12. Limitation of liability
To the maximum extent permitted by applicable law:
- We are liable without limitation for damage caused intentionally or through gross negligence, and for any liability that cannot be excluded or limited under mandatory law (including Article 100 of the Swiss Code of Obligations).
- We are not liable for damage caused through slight negligence.
- For damage caused through medium negligence, our total aggregate liability is limited to the greater of (a) the amounts paid for your use of the Service in the twelve (12) months before the event giving rise to the claim, and (b) CHF 100.
- Within the limits of mandatory law, we are not liable for indirect or consequential damage, loss of profit, loss of business, loss of data that could have been prevented by keeping your own copies, or damage arising from third-party services, your dealings with your clients, or your breach of Section 4.
13. Indemnity
You will indemnify and hold us harmless from claims, damages, and reasonable costs (including legal fees) brought by third parties, including your clients, arising from (a) Your Content, (b) your breach of these Terms, in particular Section 4, or (c) your violation of applicable law in using the Service.
14. Term, termination, and your data
These Terms apply for as long as you use the Service.
By you. You may stop using the Service and delete your account at any time in the app. Deleting your account does not cancel an active subscription; cancel it separately in your app store settings.
By us. We may suspend or terminate your account with immediate effect if you materially breach these Terms or if required by law. If we discontinue the Service or terminate without cause, we will give you at least 30 days' notice where practicable.
After termination. Your right to use the Service ends. We delete or anonymize Your Content as described in our Privacy Policy. Where practicable, and before deletion, we give you a reasonable opportunity to export your data. Sections 6, 7, and 11–19 survive termination.
15. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes in the app or by email at least 30 days before they take effect, and may ask you to accept them in the app. If you do not accept a material change, you may stop using the Service and delete your account before it takes effect. Minor changes (for example, clarifications or corrections) take effect when published.
16. Additional terms for Apple devices
If you downloaded the app from Apple's App Store:
- These Terms are between you and us only, not Apple. We, not Apple, are solely responsible for the app and its content.
- Your license to use the app is limited to Apple-branded devices you own or control, as permitted by the App Store usage rules.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation regarding the app.
- We, not Apple, are responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection or data protection claims.
- If a third party claims that the app infringes its intellectual property rights, we, not Apple, are responsible for investigating, defending, settling, and discharging that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
17. Transfer of the Service
We may transfer these Terms, your account, and Your Content to a company we form or to another successor that takes over the Service, without your consent. We will notify you of such a transfer, and the successor will become the contracting party under these Terms. You may not transfer your rights or obligations under these Terms without our written consent.
18. General provisions
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service.
- Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision is replaced by a valid one that comes closest to its purpose.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Notices. We send notices in the app or to the email address of your account. You can reach us at developer@ritmoplanner.com.
- Language. If these Terms are translated, the English version prevails in case of conflict.
19. Governing law and jurisdiction
These Terms are governed by substantive Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Basel, Switzerland. We may also bring claims against you at your place of residence or business.
